A company that is limited by guarantee is suitable for an organisation that is non profit making (e.g. Clubs, Associations, Foundations).
Not for profit type companies including charity registrations.
Not for profit organisations, whatever legal form they take, are subject to a number of statutory obligations that must be complied with. Ideal for non-charitable activities such as societies, scientific and research, clubs, educational institutions or trade asscociations.
A company limited by guarantee does not have a share capital, instead it has members who are guarantors instead of shareholders. The liability of its members limited by the memorandum to such amounts as the members may respectively undertake to contribute to the assets of the company in the event of its being wound up.
